BDO's transaction advisory team acted as the main advisor for swenex - swiss energy exchange Ltd during the sale of its ZEV business sector (Self-consumption Grouping) to NeoVac ATA AG. This included preparing the sales documents, approaching potential buyers, coordinating and moderating discussions with potential buyers, coordinating due diligence, assisting with contractual negotiations, and overall management of the process until the transaction was concluded.
Swenex - swiss energy exchange Ltd (swenex), based in Kriens LU, has been active in the energy trade since 2003 and offers its customers a comprehensive solution for energy supply and management. The company is the main independent energy supplier for end customers in Switzerland and employs about 70 people. For strategic reasons (focus on the main business), the board of directors of swenex decided in 2023 to sell the metering and billing services business for self-consumption groupings (ZEV), which had been operated as a secondary activity since 2019.
The NeoVac Group (NeoVac), based in Oberriet SG, offers comprehensive solutions for intelligent and respectful use of energy and water resources, as well as for their safe storage. For the measurement, billing, and monitoring of energy flows in buildings and areas, NeoVac provides all services from a single point. As the main complete supplier in Switzerland, the company employs about 540 people. With the acquisition of the ZEV business sector from swenex, NeoVac not only strengthens its leading position in the field of energy measurements and billings but also creates new opportunities for collaboration in a dynamically growing sector, while swenex can continue to develop its main business.
With this acquisition, NeoVac ATA increases its billing volume in the ZEV sector from 10,000 to about 50,000 usage units (apartments and businesses) and offers a complete package for managing photovoltaic electricity in residential buildings and areas. Swenex and NeoVac also wish to work in partnership on complementary solutions in the future. "There is a lot of potential in the field of professional energy trading, energy billing, and rational energy use," explains Christof Lindemann, Chairman of the Board of Directors of swenex. "A closer collaboration between the respective market leaders offers interesting synergies," adds Patrik Lanter, CEO and Chairman of the Board of Directors of the NeoVac Group.
